C3 Alignment Group, LLC (“C3”, “we” or “us”) takes the privacy of its customers very seriously and wants you to feel comfortable whenever you visit our website, access our online programs, or participate in our online offerings. For more information please visit the C3 Privacy Policy.
This document is an agreement between you and C3 that describes the terms of use (“TOU”) subject to which you may access and use the content and services offered on https://c3-ag.com (the “Site”). The services and tools offered on the Site may be subject to additional terms and conditions described herein, on a Site, or provided with such services or tools. YOU ACKNOWLEDGE AND AGREE THAT BY BROWSING OR USING THE CONTENT, MATERIALS AND TOOLS AVAILABLE ON THE SITE, YOU HAVE AGREED TO BE BOUND BY THESE TERMS OF USE AND ANY ADDITIONAL TERMS THAT MAY APPLY.
Please note that C3 reserves the right to revise these TOU at any time by posting an update to this page. Your continued use of the Site following the posting of changes to these TOU will mean you accept those changes. C3 reserves the right, in its sole discretion, to determine if you have violated these TOU, and to take any action it deems appropriate. You acknowledge that C3 shall have the right to terminate your access to the Site for violations of any of these terms, including infringement of copyright.
1. Personal, Non-Commercial Use: The Site is made available for your personal, non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any of the information, tools, products, or services obtained from the Site. COPYING OR REPRODUCTION OF CONTENT OR FUNCTIONALITY TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.
2. About the Site: C3 is in the business of providing coaching and consulting services to clients (“Services”). C3 makes the Site available to users for the purpose of providing information about the Services and providing means of contacting C3 about the Services. Any person who browses, accesses, or otherwise uses the Site is considered a “User” for purposes of these TOU. The Site is subject to change at any time in C3’s sole discretion. C3 may, at any time, revoke a User’s access to the Site for any reason in its sole discretion, including, but not limited to, if C3 believes that the User is in breach of these TOU.
3. Contact Form: The Site provides a form for Users to contact C3 (“Contact Form”) for purposes such as requesting Services or information about Services and contacting us for general inquiries. To submit a Contact Form, you may need to provide personal information such as your name and email address. In connection with enabling and processing Contact Forms, we may utilize tools and services provided by third parties. By submitting any Contact Form available on the Site, you expressly consent to: (i) C3 sharing your personal information with the third parties that C3 engages to enable, process, and store Contact Forms; and (ii) C3 using the information you submit through the Contact Form for the purposes described in our Privacy Policy.
4. Site Content: “Content” means all text, images, graphics, sounds, writings, and other content that you see, hear, download, or otherwise experience on the Site. Subject to these TOU, you may use Content solely for your personal, non-commercial use. ALL OTHER USES ARE EXPRESSLY PROHIBITED. Neither your use of the Site nor these TOU grant you any ownership or intellectual property rights in Content. You may not reproduce, redistribute, transmit, assign, sell, broadcast, lease, modify, adapt, create derivative works of, sublicense, or otherwise transfer any Content, unless we give you express written permission.
5. Third-Party Content and Links: The Site may display content or tools provided by third parties, links to third-party web pages, advertisements, and solicitations to purchase products or services (collectively “Third Party Content”). In consideration for the convenience of C3 making Third Party Content available or accessible to you, you acknowledge that C3 is not responsible for any such Third Party Content and C3 makes no representations as to the completeness or accuracy of such Third Party Content. You also agree that C3 is not responsible or liable for any losses or damages you experience with any Third Party Content you choose to rely upon or advertisements you respond to, and that you must contact the third party directly for any remedies that may be available to you.
6. C3 Intellectual Property Rights
a. Site and Content: The Site, Content, and the entire contents, features and functionality of the Site (including but not limited to all information, sounds, photographs, graphics, audio and video, programs, written materials, text, images, displays, graphics, images in software and related materials, and the design selection and arrangement thereof) are owned by us, our licensors, or other third parties, and are protected by U.S. and foreign intellectual property and proprietary rights laws. Any prohibited or unpermitted use of the Site or Content is a breach of these TOU and may violate copyright, trademark, and other laws.
b. Trademarks: Our names, logos, trademarks, and service marks, whether registered or unregistered (“Marks”) are the intellectual property of us or our licensors. Our Marks include but are not limited to “C3 ALIGNMENT GROUP”. The appearance, layout, color scheme, and design of the Site are protected trade dress. You may not use any of our Marks or trade dress without our express written permission.
c. Feedback: We welcome feedback, opinions, innovations, or suggestions regarding the attributes, performance, or features of the Site (“Feedback”). You assign all rights, title and interest in any Feedback you provide to us. If for any reason such assignment is ineffective, you agree to grant us a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.
7. Copyright Policy: We respect the intellectual property rights of others. It is our policy to respond to any claim that Content infringes the copyright or other intellectual property rights of any person or entity. If you believe that your work has been used or copied in a way that constitutes copyright infringement and such infringement is occurring on the Site, please provide notice to our Copyright Agent and include the following information (“Copyright Notice”):

YOU SHOULD CONTACT THE COPYRIGHT AGENT ONLY IF YOU BELIEVE THAT YOUR WORK HAS BEEN USED OR COPIED IN A WAY THAT CONSTITUTES COPYRIGHT INFRINGEMENT AND THAT SUCH INFRINGEMENT IS OCCURRING ON THE SITE. THE COPYRIGHT AGENT WILL NOT RESPOND TO ANY OTHER INQUIRIES.
8. User Responsibilities and Conduct: Users are responsible for obtaining access to the Site, and that access may involve third-party fees (such as Internet service provider or airtime charges). Users are responsible for those fees. Users further agree: (i) not to use, or attempt to use, the Site to convey any information that may be considered unlawful, harassing, libelous, abusive, threatening, obscene, hateful, offensive, harmful, vulgar, distasteful, defamatory, libelous, or invasive of another person's privacy or proprietary rights; and (ii) not to impersonate, or attempt to impersonate, any other individual, falsify contact information, misrepresent a relationship with any person or entity, including misrepresenting a relationship with C3, or otherwise attempt to mislead with respect to User’s identity.
9. Compliance with Laws: By accessing or using the Site, you agree to comply with all laws, rules and regulations implemented by any government authority or agency which govern or apply to the use of the Site. Without limiting the generality of the foregoing, you expressly agree not to export or re-export any of the content contained in the Site to countries or persons prohibited under the export control laws of the United States. C3 makes no representation that the content on the Site is appropriate or available for use outside the United States. If you have chosen to access the Site from outside the United States, you do so at your own initiative and risk, and you are solely responsible for compliance with your local laws, if and to the extent, local laws are applicable.
10. Legal Disclaimers: The Site, the Content and all information and content provided therein are for the convenience of visitors of the Site and for customers and potential customers of C3 and its Service offerings. You acknowledge and agree that Third Party Content may include public contributions, that there are inherent limitations to the accuracy or currency of such information, and that such information may be incomplete, may contain inaccuracies, or may be based on opinion. C3 DOES NOT ENDORSE ANY THIRD PARTIES NOR DOES C3 SCREEN THIRD PARTY CONTENT FOR ACCURACY OR TRUSTWORTHINESS. TO THE FULLEST EXTENT PERMITTED BY LAW, C3 AND ITS AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SITE, THE CONTENT, OR AND INFORMATION AND CONTENT PROVIDED THEREIN. THE SITE, CONTENT AND ASSOCIATED INFORMATION ARE PROVIDED “AS IS,” WITH NO WARRANTY, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. C3 DISCLAIMS ANY IMPLIED, EXPRESS, OR STATUTORY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SITE. C3 DOES NOT WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR THAT THE SITE IS FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. YOU UNDERSTAND AND AGREE THAT IF YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SITE, YOU DO SO AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL OR DATA. 11. LIMITATION OF LIABILITY: UNDER NO CIRCUMSTANCES IS C3, ITS OFFICERS, DIRECTORS, AFFILIATES, SUBSIDIARIES, OR LICENSORS LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, RELIANCE, CONSEQUENTIAL OR SPECIAL DAMAGES, WHETHER OR NOT FORESEEN, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) ON ACCOUNT OF YOUR USE, MISUSE, OR RELIANCE ON THE SITE, CONTENT, OR THIRD PARTY CONTENT. THIS LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM ANY CLAIM RELATING TO THESE TOU, THE AGREEMENTS OR POLICIES REFERENCED HEREIN, OR THE SUBJECT MATTER HEREOF, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY EVEN IF C3 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The above limitation applies to your use, misuse, or reliance upon the Site, including, without limitation, damages you may incur because of third-party services or other services or goods received, such as third-party services or goods received by, advertised on, or linked to the Site.
Some states or other jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you.
12. Indemnity: You agree to defend, indemnify, and hold harmless C3 and its affiliates, subsidiaries, and their respective officers, directors, employees, consultants, agents and suppliers from and against any and all claims, liabilities, damages, and/or costs (including, but not limited to, fees, costs and other expenses of attorneys and expert witnesses) arising out of or related to: (i) your use of the Site, (ii) any violation of these TOU or applicable law by you in connection with your use of the Site, or (iii) any actual or alleged infringement by you, or any person accessing the Site on your behalf, of any intellectual property or privacy or other right of any third party.
13. Governing Law; Arbitration: Any controversy or claim arising out of or relating to these TOU and the agreements and policies referenced herein, or the breach thereof, shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to its conflict of laws provisions, and shall be adjudicated by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator(s) shall be experienced in and knowledgeable about legal issues related to ecommerce and software as a service. The place of arbitration shall be Boston, Massachusetts. Each party shall bear its own costs and expenses and an equal share of the arbitrators' and administrative fees of arbitration. The award of the arbitrator(s) shall be accompanied by a reasoned opinion. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.
14. Force Majeure: Under no circumstances shall C3, its affiliates, subsidiaries, or licensors be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, loss of data, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air-conditioning.
15. Entire Agreement; Waiver; Severability; Assignment: These TOU and the agreements and policies referenced herein constitute the entire agreement between you and C3 with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any failure by C3 to enforce a provision of these TOU is not a waiver of its right to do so later. If for any reason, any provision or portion of the TOU is found to be unenforceable, the remainder of the TOU will continue in full force and effect. You may not assign or delegate any rights or obligations hereunder. C3 may assign and/or delegate all of its rights and/or duties at its sole discretion to any third party.
